Secondary Market Policy

  1. How it works
    1. The secondary market is a match bargaining system.
    2. We publish your investment for sale on our market and we approach interested members who have requested that they are notified when investments are available for sale. 
    3. We will republish investments we have available, on rotation, based on date received.
    4. Crowdstacker cannot guarantee if and how quickly an investment can be sold.
    5. Unless you find a willing transferee, the underlying principal debt you have invested may not be accessible to you until the investment expires.
    6. Only ‘operating’ investments can be sold on the Secondary Market (see section 4)
       
  2. Selling your investment
    1. To sell your investment, log into your account and then go to ‘My account’ and ‘My investments’. You will see your peer to peer investments in either your peer to peer account and/or your ISA account. You will have the option to sell next to each active investment.
    2. You should not assume that you will be able to sell your investment on the Secondary Market.
    3. Crowdstacker facilitates Secondary Market sales by publishing regular listings of available investments to registered users and administers the sale of investments. We are not obliged to source a buyer for you.
    4. You will only be able to sell your entire investment and you currently can only set the investment to be sold at the investment amount or the full capital you invested. 
       
  3. Buying investments for sale
    1. The purchase of investments for sale will be on a first-come, first-served basis, based on the time your email is received by us.
    2. An expression of interest to purchase an investment must be confirmed by us, in writing before considering the purchase as reserved.
    3. We will reserve an investment for interested parties for 48 hours, to allow the return of Secondary Market Terms and Conditions and funds to be paid.
    4. When purchasing an investment, you agree to:

(a) To purchase the Transfer Investment and to make payment of the Purchase Price to Crowdstacker Ltd;
(b) That Crowdstacker Ltd is authorised to make payment of the Purchase Price to the seller of the Transfer Investment and (2) to complete the purchase of the Transfer Investment;
(c) To be bound by the terms of the Key Commercial Terms and the Investor Terms & Conditions that apply to the Transfer Investment in the capacity of the Issuer;
(d) To be bound by the Investor Terms & Conditions which are available at www.crowdstacker.com/terms-conditions;
(e) That the seller of the Transfer Investment is released from all liabilities under the Transfer Investment.

  1. Investment Valuation

You currently can only set the investment to be sold at the investment amount or the full capital you invested, however, Crowdstacker will apply the following restrictions based on the investment performance and status.

Based on the current performance and ongoing monitoring of the investment, we have no reason to believe that they will not continue to trade normally and make interest payments.

Enhanced Monitoring

The Borrower/Issuer is currently undergoing additional review which supplements Crowdstacker’s on-going monitoring of the Company. 

There is no default on the investment; however, secondary market sales will be suspended until the review is complete.

The Borrower/ Issuer fails to make a payment or only partially pays, the amount due to investors.

Secondary market sales are suspended until the fund is collected from the overdue account.

Dependant on the circumstances that gave rise to the failed/ part payment; the security trustee may impose upon the firm enhanced monitoring for a period no less than 3 months from the date the event occurred.

Default

The Borrower/Issuer are placed in default and/or are now in administration.

Secondary market sales are suspended.

Early Repayment

The Borrower/ Issuer decides to repay investors before the end of the term.

A combination of capital and interest are paid to investors, in one or more instalments and form a new loan repayment timetable that could extend to the original repayment date.

In cases where the Borrower /Issuer is under enhanced monitoring, it must comply with Crowdstacker’s ongoing monitoring requirements, demonstrate a marked improvement in any areas of shortfall and maintain a level of stability for a period of 6 months before operating status can be reinstated.
